Adamus Resources Dismisses Allan Morrison’s Shareholding Claim As “Complete Falsehood”

Adamus Resources Limited has strongly refuted claims by Mr. Allan Morrison that he holds shares in the company, describing the assertion as a “complete falsehood” and inconsistent with its official records.

In a press statement issued on Wednesday, August 27, 2026, and signed by Management, the mining company stated unequivocally that Mr. Morrison has no stake whatsoever in Adamus.

“Adamus states, without qualification, that Mr. Allan Morrison is not, and has never been, a shareholder of Adamus Resources Limited. He holds no shares, equity, beneficial interest whatsoever in the Company. Any representation to the contrary is inconsistent with the corporate records of Adamus and should therefore be treated as wholly unfounded,” the statement said.

The company was reacting to what it described as “continuing representations” by Mr. Morrison and reports carried by sections of the media that seek to portray him as a shareholder and, by extension, as a person with an interest in the affairs of the company.

According to Adamus, its information indicates that Mr. Morrison is a New Zealand national resident in Australia and associated with BCM, a mining contractor.

“Whatever interest or relationship he may have with BCM cannot, either as a matter of fact or law, be converted into an interest in Adamus. The two propositions are entirely distinct, and any attempt to conflate them merely creates a misleading impression as to the true ownership structure of the Company,” the company stressed.

Adamus said although it ordinarily would not dignify every unsubstantiated assertion with a public response, the persistence of the claim and attempts to clothe it with legitimacy through repeated media publications made it necessary to put the record straight.

The company further challenged Mr. Morrison to prove his claim if he maintains it.

“Accordingly, if Mr. Morrison maintains that he is a shareholder of Adamus, the Company considers it entirely reasonable that he should place before the public the foundation of that assertion. He should identify the shares allegedly held by him, state when and from whom they were acquired, and produce the relevant corporate documentation by which that alleged interest is said to have arisen,” the release said.

Adamus also expressed concern about the readiness of certain media platforms to reproduce such assertions without undertaking basic verification from the company.

It has therefore cautioned the public, businesses, industry stakeholders and institutions against dealing with Mr. Morrison on the representation that he is a shareholder, owner or authorized representative of the company.

“He has no authority arising from any shareholding in Adamus to speak for, bind, represent or transact business on behalf of the Company. Any person presented with a representation to the contrary is strongly advised to verify the position directly with Adamus before acting upon it,” it warned.

“The public and the media are accordingly urged to be guided by the facts and to resist attempts to transform an unsupported assertion into corporate reality merely through repetition,” the statement concluded.

FOR IMMEDIATE RELEASE

ADAMUS EXPOSES ALLAN MORRISON’S PURPORTED SHAREHOLDING AS A COMPLETE FALSEHOOD

The attention of Adamus Resources Limited (“Adamus” or “the Company”) has been drawn to continuing representations by Mr. Allan Morrison, and reports carried by sections of the media, which seek to portray him as a shareholder of Adamus and, by extension, as a person possessing an interest in the affairs of the Company.

Ordinarily, Adamus would not consider it necessary to dignify every unsubstantiated assertion concerning its corporate affairs with a public response. However, the persistence with which this particular claim has been repeated, and the apparent attempt to clothe it with legitimacy through repeated media publication, have made it necessary for the Company to place the true position beyond controversy.

Adamus states, without qualification, that Mr. Allan Morrison is not, and has never been, a shareholder of Adamus Resources Limited. He holds no shares, equity, beneficial interest whatsoever in the Company. Any representation to the contrary is inconsistent with the corporate records of Adamus and should therefore be treated as wholly unfounded.

The Company’s information is that Mr. Morrison is a New Zealand national resident in Australia and associated with BCM. Whatever interest or relationship he may have with BCM cannot, either as a matter of fact or law, be converted into an interest in Adamus. The two propositions are entirely distinct, and any attempt to conflate them merely creates a misleading impression as to the true ownership structure of the Company.

Adamus is particularly concerned that, notwithstanding the absence of any recognized shareholding, Mr. Morrison has continued to project himself publicly in a manner that creates the impression that he possesses an interest in the Company. Shareholding in a corporate entity is proved by reference to the legally recognized corporate records evidencing the acquisition and ownership of shares.

Accordingly, if Mr. Morrison maintains that he is a shareholder of Adamus, the Company considers it entirely reasonable that he should place before the public the foundation of that assertion. He should identify the shares allegedly held by him, state when and from whom they were acquired, and produce the relevant corporate documentation by which that alleged interest is said to have arisen

The Company is equally concerned by the readiness of certain media platforms to reproduce assertions of this nature without undertaking basic verification from Adamus.

Adamus further considers it necessary to caution the public, businesses, industry stakeholders and institutions against dealing with Mr. Morrison on the representation or assumption that he is a shareholder, owner or authorized representative of Adamus. He has no authority arising from any shareholding in Adamus to speak for, bind, represent or transact business on behalf of the Company. Any person presented with a representation to the contrary is strongly advised to verify the position directly with Adamus before acting upon it.

The public and the media are accordingly urged to be guided by the facts and to resist attempts to transform an unsupported assertion into corporate reality merely through repetition.
